This Partner Program Agreement (“Agreement”) contains the terms and conditions that govern your participation in the Detail Companion Partner Program (the “Program”). This is a legal agreement between you (the “Partner,” “you,” or “Affiliate”) and Detail Companion (“we,” “us,” or “our”).
By submitting an application to join the Program or by sharing your unique referral link, you agree to the terms set forth in this Agreement.
1. Enrollment and Eligibility
Application: To begin, you must submit a Partner Program application via our website. We reserve the right to reject any application at our sole discretion, particularly if your website or promotional methods contain content that is violent, sexually explicit, illegal, or inconsistent with our brand standards.
Eligibility: You must be at least 18 years of age to participate.
Independent Contractor: Your participation in the Program is solely as an independent contractor. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship between you and Detail Companion.
2. Referral Links and Promotion
Unique Link: Upon acceptance, you will be issued a unique Referral Link (“Link”). You act as the primary tracking mechanism for your referrals. It is your responsibility to ensure the Link is formatted correctly.
FTC Disclosure Compliance: You must strictly comply with the Federal Trade Commission (FTC) guidelines on endorsements. You must clearly and conspicuously disclose your relationship with us (e.g., "This post contains affiliate links," or "I earn a commission if you sign up via this link") in any content where you promote Detail Companion.
Approved Assets: You are granted a limited, non-exclusive, non-transferable license to use Detail Companion logos, banners, and marketing materials provided in the Partner Dashboard solely for the purpose of promoting the Service. You may not alter our logos without prior written consent.
3. Qualified Referrals
A “Qualified Referral” occurs when a person (the “Prospect”) arrives at our website through your Link and meets all of the following criteria:
New Customer: The Prospect is not a current or previous customer of Detail Companion.
Subscription: The Prospect registers for a paid Detail Companion subscription plan.
Payment: The Prospect successfully pays the subscription fee, and the funds are not refunded or charged back within the initial 30-day period.
Cookie Life: The Prospect converts within 60 days (or the period specified in your Dashboard) of clicking your Link. If the user clicks multiple affiliate links, the last link clicked prior to registration will receive credit.
Self-Referrals Prohibited: You may not use your own Link to purchase a subscription for yourself or your own business. Self-referrals are not eligible for commissions.
4. Commissions and Payouts
Commission Rate: Commissions are calculated based on a percentage of the revenue generated by the Qualified Referral, as specified in your Partner Dashboard. (Standard offer is typically 20% recurring for the first 12 months, subject to change).
Payout Threshold: Commissions are paid out once your accrued unpaid balance exceeds $50.00 USD.
Payout Schedule: Commissions are processed on a Net-30 basis. (e.g., Commissions earned in January are paid in early March). This delay allows for potential refunds or chargebacks.
Payment Method: Payouts are made via PayPal or direct bank transfer (Stripe Connect). You are responsible for keeping your payment details up to date.
Clawbacks: If a Qualified Referral requests a refund or initiates a chargeback after a commission has been paid to you, we reserve the right to deduct that commission amount from your future payouts.
5. Prohibited Activities
To protect the Detail Companion brand, the following activities are strictly prohibited. Engaging in these activities will result in immediate termination and forfeiture of all commissions.
Search Engine Marketing (PPC) Restrictions:
You MAY NOT bid on branded keywords such as "Detail Companion," "DetailCompanion.com," or any misspellings or variations thereof on Google Ads, Bing, or other search engines.
You MAY NOT use our domain name as the display URL in paid ads.
Other Prohibitions:
Spam: You may not send unsolicited bulk emails (spam) or engage in aggressive comment spamming on forums or social media. All email marketing must comply with the CAN-SPAM Act.
Cybersquatting: You may not register domain names that include our trademarks (e.g., detailcompanion-discount.com or detailcompanion-app.net).
Misrepresentation: You may not make false claims about the Service, its features, or its pricing. You may not offer "cash back" or "rebates" to users without our prior approval.
Coupon Sites: You may not post your Referral Link on "coupon farm" or "deal" websites.
6. Term and Termination
Duration: This Agreement begins upon our acceptance of your application and continues until terminated by either party.
Termination at Will: Either party may terminate this Agreement at any time, with or without cause, by giving written notice to the other party.
Effect of Termination:
If terminated without cause, you will receive any outstanding commissions owed up to the termination date.
If terminated for cause (violation of these terms, fraud, spam), you forfeit all pending commissions.
7. Limitation of Liability
We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under this Agreement.
8. Indemnification
You agree to indemnify, defend, and hold harmless Detail Companion and its affiliates, officers, and employees from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from:
Your negligence or willful misconduct.
Your violation of this Agreement.
Your violation of the FTC Endorsement Guidelines or other applicable laws.
Content on your website or social media channels (including copyright infringement or defamation claims).
9. Modifications
We may modify any of the terms and conditions contained in this Agreement at any time and in our sole discretion. We will notify you by email or by posting a notice in the Partner Dashboard. Modifications may include, for example, changes in the scope of available commission fees, commission schedules, payment procedures, and Program rules. If any modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation in the Program following our posting of a change notice or new agreement will constitute binding acceptance of the change.
